By participating in the SYNTHTOPIA^®: THE SYNTHETIX NFT Drop, you agree to these terms and conditions. Age Requirements: SYNTHTOPIA^® is not intended for minors. By accessing the experience, you acknowledge that you are at least 18 years old or the legal age in your jurisdiction, whichever is greater. In these Terms and Conditions, “we,” “us,” “our,” or “the Company” refer to the Company, the legal entity operating SYNTHTOPIA^®.

Definitions:

“NFT” means a non-fungible token, a unique digital asset secured on a blockchain.

“Synthesis Reward System” is the proprietary rewards framework by which NFT holders may receive loyalty points, utilities, or perks.

“Snapshot” is a recorded moment in time used to verify NFT ownership for eligibility purposes.

“Special NFTs” are uniquely numbered tokens in the drop that carry additional hidden perks.

“Primary Drop” means the original sale of NFTs on Crypto.com/NFT by the Company.

“Secondary Market” means resale of NFTs by users via Crypto.com/NFT or other platforms.

SYNTHTOPIA^® utilities are dynamic; meaning they can evolve as the project succeeds. The size, value, and timing for the delivery of the supplementary experiences are solely at the discretion of the Company, based on project roadmap priorities, timing, regulatory factors, and availability.       2. Eligibility

To be eligible for a prize, a collector must:

• Own at least one SYNTHTOPIA^®: THE SYNTHETIX NFT from Crypto.com/NFT.
• Identify one (or more) of the twenty-six (26) special NFTs.
• Hold the identified NFT(s) in their Crypto.com/NFT wallet for forty-five (45) days.
• Complete the dedicated Google form provided by the SYNTHTOPIA team after the drop, via opening a ticket on SYNTHTOPIA’s Discord channel to verify proof of purchase and ownership and provide the deposit address(es) to receive your prize(s).
• Both primary and secondary market purchases qualify for eligibility.
• It is important to note that each NFT is redeemable only once.

      3. Prize Redemption:

The prize will be distributed to the winners' provided crypto wallet addresses within forty-five (45) days after we receive payment from the marketplace following the end of the event. For the airdrops to take place, more than 60% of the total supply of NFTs must be minted. Winning NFTs are claimable within the first 45 days after the drop completion.

Prize Currency and Payout Method: All monetary prizes detailed in these Terms and Conditions are denominated in United States Dollars (USD). However, the actual payout of these prizes will be executed in the form of $CRO. The equivalent amount of $CRO to be disbursed will be calculated based on the prevailing exchange rate at the time of distribution. This rate will be determined by the average closing price of $CRO on major cryptocurrency exchanges on the day of distribution.

1. This system is structured to accrue value through Loyalty Points, with a tier system amplifying rewards based on NFT rarity and collector commitment. To be eligible, collectors must each own two (2) or more SYNTHTOPIA^® NFT(s) and must pass verification through our Discord bot and/or our dedicated NFT gated portal.

Prize: Secure Your Spot on the ALLOWLIST for future eligible SYNTHTOPIA^® drops

To be eligible for this prize, collectors must hold at least one (1) SYNTHTOPIA^®: THE SYNTHETIX NFT and/or at least one (1) SYNTHTOPIA NFT in their wallets by the time of the future eligible SYNTHTOPIA^® drops.

Prize: Shape the Saga through the SYNTHESIS Discord/AI Portal

1. As an authorized holder of SYNTHTOPIA NFTs, you will have privileged access to an exclusive Discord portal and/or a dedicated website, which are gated specifically for NFT holders. This includes the utilization of an AI-based portal that acts as a platform for collective ideation and creative contributions. As a collector, you have access to influence the narrative associated with your owned NFTs, effectively shaping it in accordance with your imagination. To maintain a coherent and consistent narrative momentum, we have engaged a skilled cohort of professional storytellers who are tasked with coordinating with the community, curating the narrative, and directing the saga as it progressively materializes into diverse forms such as comics and film animations. This approach positions every collector as an essential contributor to the ongoing expansion and evolution of the SYNTHTOPIA^® universe. To be eligible for this prize, collectors must hold at least one (1) SYNTHTOPIA^® NFT in their wallets by the time of entering the exclusive Discord and/or dedicated website.
   
2. As a holder of a SYNTHTOPIA^® NFT, you are given the opportunity to engage in a pioneering venture within a collaborative universe, starting with comic editions and intended to evolve into streaming content, short and feature films, video games, and web series. In collaboration with our strong ecosystem and community, we aim to push the narrative of SYNTHTOPIA^® beyond the digital realm, expanding the collection into a comprehensive transmedia franchise. Your participation will aid in the narrative's evolution, transitioning it from the novel medium of comic storytelling to the dynamic world of a film — 'by the community, for the community.' By being an integral part of this process, you contribute to shaping SYNTHTOPIA^® into a shared cinematic universe, increasing the reach and impact of your NFT holdings.

Utility: Use of the SYNTHTOPIA^®: THE SYNTHETIX IP

1. By owning a SYNTHTOPIA^® NFT, you can join in the fun of the SYNTHTOPIA Universe, use the purchased NFT as your profile picture, trade it, or sell it.
   
2. By purchasing the NFT, you gain the liberty to create both within and beyond the universe, remix, adapt, and reimagine your characters for non-commercial purposes. You can download the SYNTHTOPIA logo here: SYNTHTOPIA LOGO [COMMUNITY BRAND PACKAGE]
   
3. In all your creative endeavors and successes, we ask you to provide appropriate credit to SYNTHTOPIA®, where applicable. This ensures proper attribution and respect for the original work and its creators why we leverage the whole movement. SYNTHTOPIA^® requires the following credit in/on all uses: “Inspired by the world, community, and art of  © SYNTHTOPIA^® | www.synthtopia.world”.

4. Any commercial utilization other than the outright (secondary) sale of the NFT is subject to prior written approval by the SYNTHTOPIA^® team. For any commercial utilization of the material, please send a request notice with suggested terms to the team, prior to your intended commercial use. The team will then either approve or decline it in writing or reach out for further information.

5. When intellectual property (IP) is created that is derived from or based on intellectual property of the SYNTHTOPIA^® brand or any of the content (including without limitation NFTs) that is published under or in connection with the SYNTHTOPIA^® brand, the creator of said derivative IP hereby agrees that SYNTHTOPIA^® is granted, at the time of inception, a non-exclusive, perpetual, worldwide license to use the material for commercial and non-commercial purposes, in all media and languages, including without limitation the right to use, reproduce, distribute, and adapt the material for any purpose. Any commercial utilization of the derivative IP by the creator or a third party other than the outright (secondary) sale of the NFT is subject to prior written approval by the SYNTHTOPIA^® team. The team will then either approve or decline it in writing or reach out for further information.
   

6. While SYNTHTOPIA^® does not require permission for the use of the derivative IP, it commits to providing compensation to the original creator of the derivative IP. This compensation may be in the form of a percentage of royalties or a lump sum payment, as determined by SYNTHTOPIA^® at its sole discretion.

This approval process for quality control is expected to take a minimum of six (6) weeks. Our team will explore opportunities to support the creations and introduce them to the wider SYNTHTOPIA^® community, artists, and ecosystem.
   
10. Notwithstanding any provisions to the contrary contained herein, all holders of SYNTHTOPIA^® NFTs must adhere to strict standards of conduct regarding the use of their SYNTHTOPIA^® Character or any related visual intellectual property. Specifically, NFT owners are prohibited from engaging in, or using their NFTs in connection with, any activities that are unlawful, defamatory, harassing, abusive, fraudulent, racist, hateful, vulgar, cruel, illegal, obscene, or that promote any such behaviors or activities.
    
11. In all your creative endeavors and successes, we require you to provide appropriate credit to SYNTHTOPIA^®, where applicable. This ensures proper attribution and respect for the original work and its creators why we leverage the whole movement. SYNTHTOPIA^® requires the following credit in/on all uses: “Inspired by the world, community, and art of  © SYNTHTOPIA^® | www.synthtopia.world”.
    
    
12. SYNTHTOPIA® content and materials must not be used in any way that could harm the image of SYNTHTOPIA^®, strategic decisions, or any of its subjects presented in the NFTs. You agree to indemnify and defend DESTABILIZED^® and SYNTHTOPIA^® against any claims, damages, proceedings, loss, or costs resulting from such use.

Prize: Access to Collectors-Only IRL Events and Metaverse Gatherings

1. Collectors holding at least one SYNTHTOPIA^®: THE SYNTHETIX NFT may be offered the opportunity to attend exclusive in-real-life (IRL) events and Metaverse (virtual) gatherings, subject to the discretion and planning of the SYNTHTOPIA team. The global presence of the team and community, from London to LA, Dubai to Miami, Athens to Hong Kong, among other vibrant locations, enhances the potential for diverse event experiences.
